FLY IN THE PIE: Shortly after we went to press yesterday, Greta moved that "the National Coordinator have the authoriyy to approve use of the USGenWeb logo by non-profits with the provision that he solicit input from the Advisory Board before making a final decision." [The astute reader will note that Scott's recommendation for public notification has disappeared.] Karen seconded the motion and Scott opened it for discussion as Motion 06-18. The Board initially settled into that which it does best these days, not discussing the motion, but then Cyndi posted some comments from her constituents expressing some concerns about the official logo being used on other sites and the NC having the final say in the matter. She suggested clarifying the motion by inserting the phrase ""in their written material or publication." Greta said she did not object to amending the motion as suggested and Scott, interpreting this as a "friendly amendment" and asked for general consent to amend it in order to "to add clarity to the intent of the Board on the issue at hand." At that point the discussion went distinctly south. Paul objected and rose to a point of order [apparently in order to amuse us personally] and noted "The chair just can't jump in and change a motion in the middle of its discussion." Scott decided his point of order wasn't well taken and cited chapter and verse of something called "Best Practices of Parliamentary Procedures" at him. [Sturgis is not silent on the matter of friendly amendments, so we don't know why he's going off the reservation for his parliamentary sources.] Paul again objected to the amendment, but has not yet responded to Scott's multiple requests to explain his objections to the substance of the amendment itself. He did however provide some discussion on the main motion itself; he's mainly worried about whether the wording is "restrictive enough," whether the Project risks running "afoul of anti-discrimination laws," and whether or not the Board has the authority under the bylaws to "relegate authorities to the NC, or any project member." The rest of the Board appeared stunned into silence by this exchange of many messages and no one else has discussed the proposed amendment or the main motion since it began. UNQUESTIONED ANSWERS: Its going on four days now and Scott still has not responded to our question about the identity of the genealogical society that wants to use our logo in its publication. We are very curious as to why we can't know this information. For one thing, we can't see any reason to keep the information secret [unless there's something about it that might raise some flags], and for another, its pretty hard to promote the society's publication or to purchase it ourselves if we don't know who is selling it. Another issue that's become apparent to us is that no USGenWeb member would be permitted to use the logo in the fashion that Scott is now proposing [on a publication that is going to be sold]. Anyone who's ever tried to use the logo or USGenWeb name to raise money, even money they were going to plow back into their pages or other support of USGenWeb's mission, has been soundly thrashed publicly and privately and some have even been hounded out of their state projects [think John Rigdon] amid cries of profiteering. So, basically, while we think that publicity for the USGenWeb Project is a good thing, this might be opening a can of worms the Board may come to regret. How can they deny the membership the opportunity to do the same good things for the Project that they would permit outside organizations to do? KNOCKING DOWN A STRAW MAN: The Board continued yesterday to discuss the logo issue. One more Board member said he had no objection to allowing the NC to give permission to use the logo as part of the position's "day to day" duties. This brings the number of Board members who have given consent to the now-defunct proposal up to a whopping five. Scott and Paul continued their banter on the topic. Paul observed, after some prompting by the NC, that the NC may grant or deny requests to use the logo as part of his "day to day" duties without authorization from the Board, and that a motion making this official is superfluous. Scott disagreed with Paul and noted, "This position provides no oversight for the membership, or protection of the project name and trademark. There would be no restriction on the public, private, profit or non-profit use of the project logo other than the whim of the NC at the time. The question...gave that authority to the NC, or with the suggested modification to me for just this term, but did restrict the use to non-profit usage only. It also, in my opinion, implied some oversight with at least informal discussion with the AB." [This is a far cry from his original proposal which did mention permitting logo use by non-profits but included absolutely nothing, even by implication, about Board oversight.] Mike then posted a long message regarding the NFL's trademark and eventually noted that he intended no "gamemanship in opposition." Scott posted his druthers for the once and future motion, which should include: "Permission for the decision to be made by the NC...Restriction of that permission to include non-profit use only...At the least, informal conferral with the AB before approving a request...Reporting on Board that the permission was given." He noted, "upon such a request being made, the NC should be able to review the situation, determine the non-profit use and make a decision...a informal advisement to the board should be made, and if no objections are raised, the permission granted and a report made on Board. That could be done fairly rapidly, and at the same time add the oversight needed; the protection of a group decision...and make a record of the permission being given in the minutes of the AB." [You know, this sounds so reasonable. We wonder why none of this clarity and judiciousness was included in Scooter's original proposal.] This prompted Paul to post a message about the USGenWeb's own service mark and applicable laws. He claimed that "Permissible use, when granted, is required to be absolutely indiscriminate. e.g. For profit and not for profit requestors must be treated equally." [Highly doubtful.] He also observed that USGenWeb is not a legal entity and that Tim Stowell is still listed as the attorney of record with the Patent Office and that any redress for misuse of the logo should be initiated through Tim. [Intriquing thought, that.] He finished up by noting "...to answer your question about NC oversight, suspect that it is included in the bylaws in 'ARTICLE VI: DUTIES/QUALIFICATIONS OF ADVISORY BOARD, Section 2. The National Coordinator is responsible for the day-to-day administration of The USGenWeb Project and serves as the public representative for the project.'" Confused yet? We are. We have at least two Board members who have run off on bizarre tangents apparently having little to do with the matter at hand, and a pretty decent proposal, finally, from the NC [who apparently has decided this isn't the right time for a power grab after all], which provides pretty close to the right mix of NC autonomy, Board oversight, and public accountability. There's no actual motion in play yet and other than Paul and Mike's circuituous meanderings not much discussion either. While on this topic, we'll also note that Scooter still has not informed the membership of the identity of the genealogical society that wants to use the logo in its publication. It's highly likely that once it became obvious that this logo issue was going to take a little longer than anticipated he just went ahead and gave them permission to use it. TAKING CARE OF BUSINESS: Scooter announced that he recently renewed the Project's three domains. Just ducky...it's Your Daily Board Show! NOT SO FAST: Yesterday, after some banter on the DISCUSS list, wherein Scooter allowed as to how he would permit outsiders to use whichever of our logos they prefer [although we have only one official logo] but declined to identify which genealogical society wants to use our logo to raise funds, Phyllis informally opined that "the best way to approach this is to not make a generalization as to 'the NC' may do this as a part of the day-to-day business of the Project, but to make it specific." She suggested specifically giving Scooter [by name] leave to grant permission to use the logo until August 31, 2007. Scooter said he'd be fine with that; he just wants a resolution to the question. Phyllis then floated a sample motion on the informal list, but Mike noted that he has a bunch of motions himself waiting in the wings and he'd like to get on with giving Scott the general consent he needs to have control of the logo. He did, however, indicate that he'd be happy to incorporate Phyllis' motion into one of his own at a later time. Phyllis then noted, still on the informal list, that she would give Scooter general consent to decide how the logo is used, but then noted, "No permission for Mike to ever use anything that I have proposed." By this point, only four Board members had indicated no objection to Scott's proposal to give him carte blanche on the logo. Paul, however, registered an objection and shortly thereafter Scooter withdrew the proposal. This provoked an outburst from Greta, who "cannot support any one member having the power to veto what most or all of the other board members support," and who clearly did not understand the concept of "general consent." Scott's explanation of what "general consent" actually means provoked George to suggest they "see how long we can drag this out." Meanwhile, over on the informal list, Paul explained his objection to the proposal: "Bottom line is that it is not necessary for an editor to seek use permission to refer to our project in their publication and identifying us with our logo...so there is no need for the AB or the NC to issue a formal usage grant. A simple answer to any request is that logo usage must comply with U.S. Trademark laws." When Scott told him that the question was who could authorize the specific use of the logo [not the service mark; USGenWeb has never registered its logos], Paul noted, "My opinion is that the NC already, by virtue of the registered Trademark, has all the authority needed to reply to usage requests." This provoked an exasperated spasm from Mike, who noted that Paul's opinion conflicts with his objection. And that's where it stands as of press time. CONSOLIDATING POWER: Although Larry [who appears to check his mail only every other day or so] hasn't appeared, RAL Mike Peterson was kind enough to inform the membership of the nature of "time-sensitive new business" Larry was going to place on the floor. Turns out that some genealogy society [apparently we aren't allowed to know which one] is publishing an article on USGenWeb and wants to use the official logo as part of the publication. That's all well and good, fabulous actually, but Scooter has apparently decided to use this golden opportunity to assign unto himself the sole authority to determine who may use the USGenWeb logo for their own purposes. He's decided to dispense with the usual formality of a motion and a vote and has asked the Board to give him "by general consent", the right "to grant or deny, through the 'day to day admininstration' of the project, those requests of organizations or individuals to use the logo(s) of the USGenWeb in not-for-profit situations." Thus far only a couple of Board members have noted that they have no objection to this bold power grab; the rest have been silent, at least publicly. Now we are curious about several things. First off, is a genealogy-related publication really a not-for-profit situation? Wouldn't you think that the genealogical society would be selling their little magazine, possibly for a profit? Is the mysterious genealogy society itself a non-profit [not all of them are]? Second, why would the Board wish to give away what little control they have over the National Coordinator? You'd think they would think long and hard before giving one person carte blanche to decide who may and who may not use the logo. After all, we may not always have such a paternalistically benign Papa Bear at the helm and it could be quite embarrassing for the Project should some wild-haired future NC decide that our official logo should grace some scary fringe genealogy publication, or *gasp* be used to help some friends turn a profit. It's always much easier to do these things than it is to undo them, and the Board is historically incapable of grasping any sort of larger picture. The Board also apparently has the "no discussion" [and probably "no thought"] thing down pat. We expect that Scooter will get his general consent and his sole control over the logos and someday it will come back to bite them on the hinder. That, however, is a witty "we told you so" column for another day. EH, WHATEVER: Apparently the Board is content to allow the glaring error in the August minutes to stand uncorrected. As no one has objected to the minutes as posted, they will in short order be carved into stone, most likely because none of them bothered to read them. ALTERNATE REALITY: Scooter has finally allowed as to how "parliamentarily speaking" the Voter Fraud Committee no longer exists, but since it "defies common sense" [and is less expedient] to follow proper parliamentary procedure, he's decided that it would be silly to reform the committee to present the report to the assembly. The VFC report will thus continue to be an agenda item although technically it expired with the term of the last Board and there is no longer a committee Chair to propose it to the Board, just because Scooter says so. The Committee as formulated in the last Board session would be down two members if it still existed, but no plans to replace those members appear to be afoot. Scooter appears exceedingly reluctant to answer detailed questions about this issue, and although it would be quite useful to have a Parliamentarian around to address these kinds of things, he conveniently tabled that bit of business back at the beginning of the session. CLOSURE: Scooter declared Motion 06-17 finally passed with 12 Yes votes. He then asked Larry if he had "a matter of time-sensitive new business" to put on the floor before the Board proceeded down its checklist. Apparently Larry didn't because he's been quiet as a church mouse ever since his late vote on Motion 06-17. QUESTION OF THE HOUR: We asked a question yesterday on two lists and to each Board member individually, but as of yet have received no answer. So, we'll toss it out here in case you readers have an answer for us. Did the Voter Fraud Committee, which was not established as a standing committee, cease to exist when the previous Board finished its term on August 31? OVER AND DONE WITH: The Board has made its ruling in at least one of the grievances pending before it and as expected the CC lost. Unfortunately, this is more the fault of the CC, who never really seemed to grasp the nature of the complaint against her, than it is of any or unfairness on the part of the Board. Rather than address the charges against her the CC simply preferred to pursue an unwinnable complaint of discrimination which, however true it might be, was nearly impossible to prove. All members of the Board voted against the CC, except for Paul Buckley and Bettie Wood [who recused themselves] and Sundee Maynez [who, as through much of this grievance, was simply "unavailable"]. From the NC's message to the CC: "In a grievance it's not a question of what other websites in the state or the project may do, it's your actions against [XX]GenWeb's actions. One cannot use other [XX]GenWeb sites that may be in need of maintenance to justify your failure to maintain your own. The question is not whether they were maintained, the question was whether you maintained [XXX] County. Your lack of action on resolving the issue gave [XX]GenWeb the cause to remove you...We considered and ruled based upon what was in front of us. I have no problem against rendering a decision against an SC in a case like this if the SC did not follow procedures or acted rashly or unfairly. That just wasn't the case here." Getting this slamdunk off its plate frees the Board up to deal with its next "Lytton" case, one in which the fired CC, who although sometimes difficult and unpleasant, did absolutely nothing wrong other than being sometimes difficult and unpleasant. Most of the Board will probably have to hold their noses on this one, but it will be interesting to see how they work themselves up to finding for the SC. She's already refused mediation and already refused to reinstate the CC no matter what the Board recommends, so our guess is that they will try to find some way to make that not an issue. PSA: We learned from experience that one of Root$web's new "improvement" to its mailing lists will cause mail to their lists to be routed to the list admins if it has more than 9 or 10 recipients, even if only one of the recipients was a Root$web mailing list. Apparently someone sending a message to a mere handful of people and to a Root$web list is considered to be spamming or cross-posting. However, according to Root$web flack Joan Young you can get around this by putting the non-Root$web addresses in the BCC: field, or simply by sending your Root$web mail individually or in sets with less than 9 or 10 other addresses in either the To: or CC: field. -Teresa Lindquist Editor & Publisher, Daily Board Show There and back again since 1998 Posted by merope at 6:05 AM 3 comments Sunday, September 24, 2006 Man Overboard Just a jump to the left...it's Your Daily Board Show! HARDER THAN IT LOOKS: After most of the Board indicated it had no discussion of the amended version of 06-17a, Scott opened the vote on Saturday. Thus far 10 Board members have voted Yes; this is both a quorum and an unbeatable 2/3 majority so the motion has finally passed and Julie and Mike will continue as Webmaster and able Assistant. CRAWLING OUT: Scooter announced that the Board has finished its grievance deliberations and is now out of the Sekrit Sandbox [and if you believe that, we have this bridge...]. The parties to both of the grievances currently before the Board have not as yet been notified of their fate. SOUND AND FURY: The DISCUSS list erupted in indignation last night over a Department of Veterans Affairs policy that prohibits any "type of photography or filming by individuals or organizations for public, entertainment or commercial use." Apparently one of USGenWeb's zealous cemetery photographers has been escorted off VA property more than once for photographing tombstones of people not related to them and the VA has declined to issue them a permit to continue the wholesale photography and subsequent posting of those photographs online. The statement by the VA of its policy is fairly bland [see below], but makes it pretty clear that public and/or commercial photography isn't permitted without a permit and without proof of liability coverage. We imagine that the VA administration [inept though it generally is; remember this is the same agency that forgot there was a war on when it made its budget last year] took one look at the sloppy page the complainant submitted and decided that s/he was indeed participating in both a public and a commercial venture. There is no USGenWeb logo on the page and no explicit mention of the non-profit status of USGenWeb [although the Archives' "we own everything" statement is included]. The page and the photos reside at the address of a very commercial genealogy business that the VA possibly rightly figures benefits financially, even if tangentially, from inclusion of the photos. We can easily see why they might be leery of explicitly permitting people to photograph stones for this sort of thing. People should probably remember a few things: 1) we live in dangerous times and while all goverment property is "public" property the government is generally expected to protect that property; 2) "harmless" people out there photographing thousands of tombstombs may not be all that harmless; 3) the thousands of people with relatives buried there may not actually be all that appreciative of having their loved ones' stones photographed and put online and the VA is very shy of negative publicity from veterans' groups; 4) you don't have a right to do something just because it's really neat; and 5) generally, it is better to err on the side of caution. The VA is still reeling from the "laptop incident" and we imagine that this just looks to them like one giant security breach. Anyways, the discussion on DISCUSS rapidly descended into weirdness, with people claiming that tombstones can't be copyrighted, or they are art forms which can be copyrighted, that publishing photos of tombstones could help terrorists, that this policy extends to all cemeteries public and private, that tornados will wipe out all the cemeteries, and that the dead have no rights [they don't, but their living relatives do]. Once the conversation turned to a spelling flame and accusations of "anal" behavior were tossed out, George put a quick stop to it. [Which, btw, appears to mean he is continuing as list administrator in the new world order. Huzzah!] FULL DISCLOSURE: Here is the VA's policy on photographing in cemeteries, as buried deep in their "Inquiry Routing & Information System": "The public is welcome to take pictures of their relative's gravesites or general background/scenic pictures of VA national cemeteries for private use. Any other type of photography or filming by individuals or organizations for public, entertainment or commercial use is prohibited. Public, entertainment or commercial photography and filming is regulated by VA. Individuals or organizations wishing to conduct public, entertainment or commercial photography or filming at a VA national cemetery may submit a request to that cemetery director. If approved these requests require a written contract that calls for the reimbursement of all government expenses and proof of an insurance policy that covers potential liability." If this bothers you, write your Congress critters. Or write to the Secretary of Veterans Affairs, who right now is James Nicholson. CREEPING ALONG: After a bit of a lengthy delay, Scott announces that the amendment to Motion 06-17 has passed with 13 YES votes. He then asks the Board if it has any further discussion before the vote is called on the amended version of the main motion. The Board comences to doing what it does best, not dicussing. SIGN RIGHT UP: Although not overly forthcoming on details [such as just who is part of the "in" group], former NC Linda Haas Davenport has extended anyone who is willing to help out an invitation to join the "Friends of the USGenWeb Project." Although she just made up the name on the fly while she was announcing her anointment as Grand Poobah of USGenWeb's effort at the 2007 FGS conference, this group is apparently the heir to the two exceedingly unofficial committees that coordinated our attendance at the last two FGS conferences. Apparently this time they have decided to open up the membership and anyone interested in volunteering to help out with convention stuff [brochures, logistics, fundraising, booth manning, etc.] may join. If interested, you can contact Linda directly at lhaasdav@cox.net. She did firmly state that anyone was welcome. The description of the group prompted some desultory discussion of the proper use of the USGenWeb service mark when extracting funds from project members for these little shindigs. While we certainly don't mind the use of the USGenWeb name for such excellent publicity, we do think that any "unofficial" committees operating in USGenWeb's name should be required to submit regular detailed committee reports, including financial accounting, to the Board and the membership as part of the deal by which they are permitted to use the name. He suggested not withdrawing any motions and proceeding with the motion to amend. Like a bull in a china shop...it's Your Daily Board Show! THUMB TWIDDLING: Motion 06-17 [to appoint Julie and Mike as "Webmaster"] hit a snag yesterday after a few Board members objected to the various violations of parliamentary procedure, including the improper method of amending the motion and the inappropriate action taken by the Chair. Cyndie moved to amend the motion so that it correctly appoints Julie as the Webmaster and Mike as the Assistant Webmaster. Shortly thereafter Mike, observing that he had indeed "screwed up", asked Paul and Cyndie to withdraw their original motion and second in order to avoid having to spend 5-6 days getting the issue passed. Jan and Karen, however, seconded Cyndie's motion to amend, and Mike numbered it [06-17a] and opened it for discussion. The rest of the Board proceeded to have no interest in discussing the motion, but for Paul who appeared a bit confused [and with good reason] as to whether or not Mike still wanted him to withdraw his original motion and whether or not Cyndie's motion was an amendment by substitution. -Teresa Lindquist Editor & Publisher, Daily Board Show Running diagnostics since 1998 Posted by merope at 5:37 AM 0 comments Sunday, September 17, 2006 Out Of Thin Air Making it up as we go along...it's Your Daily Board Show! QUEEN FOR A DAY: The nondiscussion continued apace on Board-L until new Board member Alice Allen asked for clarification that the motion would leave Julie as the webmaster and Mike as the assistant webmaster. Scott noted that Alice was correct and that he should have made that clearer, but did not do anything to have the motion amended to reflect the correct information. Scott then left Mike in charge as acting Chair for the next few days. Mike didn't have Scott's reticence about fixing the incorrect motion and immediately amended it himself to read: "By Authority of USGenWeb Bylaws Article VI, Section 4, motion is made to appoint Julie McGrew-Ayers as Webmaster and Mike Jarvis as Assistant Webmaster of the national USGenWeb website." When Paul Buckley pointed out, over on the informal list, that this is not exactly how one goes about amending motions under our current parliamentary authority, Mike basically blew him off by saying he just figured doing it "by general consent" would be faster and easier. Mike's reasoning might make some sense if Chairs were permitted to make motions or amendments, but we don't believe they are. As acting Chair, his attempt to amend the motion the easy way is more or less out of order. Mike, incidentally, had to remind Scott that it was Paul who made the original motion. This is not the first time that Scott has mixed up the two. THE TWO SHALL BECOME ONE: Scott declared Motion 06-16 passed and Donna Allen is now the official BS. Moving to the next order of business, Scott recommended appointing Julie McGrew-Ayers and Mike Jarvis to their current respective positions of Webmaster and Assistant Webmaster. Paul immediately moved, "By Authority of USGenWeb Bylaws Article VI, Section 4, motion is made to jointly appoint Julie McGrew-Ayers and Mike Jarvis as Webmaster of the national USGenWeb website." Now we have no idea how Julie and Mike might feel about being voted into one person or how Mike feels about the abrupt promotion, but the motion is incorrect in its particulars given their current positions. Of course, it was immediately seconded and opened for discussion, and of course several Board members immediately indicated "no discussion." This is apparently easier than actually reading the motion and thinking about what they do. SPEAKING OF WHICH: There has been some little discussion of the various errors in the August minutes. Apparently most of them can be laid at the feet of the webmasters, who apparently aren't too careful about what templates they use to post the minutes. The errors have not yet been fixed. MONKEY SEE, MONKEY DO: There's also been some chatter among those who chatter about current grievances, namely the one we obliquely discussed in this space a few days ago. Fred "No One Is Paying Enough Attention To Me" Smoot publicly posted his best guess as to which grievance that might be, gave some helpful details about the persons and particulars, and then righteously accused others of violating confidentiality. [We, at least, got a good laugh out of this little dance of rectitude.] He also appears somewhat bitter about someone taking advantage of him, which is neither here nor there, but which probably explains a lot. Anyways, the chatter provoked NC Scooter to publicly assert that exposure of the details of a grievance would have no bearing on the Board's handling of the grievance and it "will review the materials provided by both parties, and enter a ruling based upon the facts of the case per the procedures." This is a welcome change from recently past Boards, which overtly threatened participants in grievances [usually the CC] with an immediate negative judgement if any information at all somehow made its way to the public, regardless of the particulars of the case. Although fine in their particulars, there are several places with obvious cut-n-paste errors, such as the first letter of a sentence being cut off. Also, retired NC Linda Haas Davenport's final message is shown as "submitted by Donna Allen, Board Secretary" although a quick check of the record shows that Linda herself posted her farewell address. We also note with some amusement that Donna has now taken to signing her minutes "Recording Secretary" although she was recently reconfirmed as the "Board Secretary", and despite referring to herself as "Board Secretary" three lines above. HALFWAY THERE: A couple of days ago Scott announced that the amendment to Motion 06-16 passed. No further action has occurred on the main motion since then. UNDER A ROCK: Scooter announced yesterday that the Board would be busy in the Sekrit Sandbox discussing a grievance. This would be the grievance between a former Board member, now an SC, and her three ASCs versus a CC whose removal they allegedly orchestrated so they could put a friend of theirs into her county. One of the ASCs is now a Board member himself, although he has publicly agreed to recuse himself from the discussion and does not play in the Sekrit Sandbox with the rest of the children. The SC and her ASCs first agreed to mediation but then backed out when they found out who the CC had chosen as her representative. The irony in all this is that that the SC was so busy getting rid of the CC for having an "unkept" and outdated website that she didn't bother to update her own website for months. After most Board members indicated they had no discussion, he opened the vote on the amendment itself yesterday. At press time, 12 Board members had voted YES on the amendment, so it has passed and we can expect a vote on the amended main motion in short order. After they voted, Alice and Greta indulged in a bit of desultory conversation about whether the Board should fix on a title and set of duties for the Board/Recording Secretary, but no one else seemed particularly interested in it so we doubt it will go much further than idle chatter. FROM BAD TO WORSE: Former NC Linda Haas Davenport notified the Project that she has graciously agreed to head up the Absolutely Not Affiliated In Any Way With USGenWeb effort to represent USGenWeb at next year's FGS conference. Its going to be in some flyover place called Fort Wayne, Indiana. Apparently they have some kind of library there that's really cool. SPEED HUMP: After several Board members indicated they have no discussion on Motion 06-16, Paul Buckley suggested that they "first define and establish the position before staffing it." Scott told him that the position has been established by "long precedent" and that its duties "are to maintain the monthly minutes of the AB and to submit the minutes of the previous month for acceptance to the NC and to the Webmasters for posting on the national pages." Paul suggested that if that's the case the motion should so state and that the motion should also note that the position does not confer Board membership. George chastised him for holding up "real work" and suggested they get on with voting. Scott noted that the bylaws clearly define Board membership and no motion can override those. He then tells Paul to amend the motion, else he will call for a vote this morning. Heeding Scooter's threat, Paul moved to amend Motion 06-16 by replacement [we think he means "substitution"] to read, "I move to accept the appointment of Donna Allen as Board Secretary, whose duties shall be to maintain the monthly minutes of the AB, submitting the previous month's minutes to the AB for approval and correction, and submitting approved and corrected minutes to the USGenWeb Webmaster for posting on the USGenWeb page." Scott, switching suddenly to formal address, noted that "Mr. Buckley" [that certainly has the ring of icy politeness] had moved to amend Motion 06-16 and asked for a second. Alice Allen seconded, and that's where it stands. TOMAYTO, TOMAHTO: Scooter also suggested that "Board Secretary" and "Recording Secretary" have been used interchangeably by people, but that is only barely true. We use "Board Secretary" instead of "Recording Secretary" because "BS" has a better ring to it than "RS" does for those times when a better ring is needed. But "Recording Secretary" has been the official title since 2002, and until NC Linda slipped up and appointed Donna Allen as a "Board Secretary" a few months ago they've all been careful to use that title. There's a good reason for this. Since our bylaws don't define the Secretary position, Sturgis is our guide in this matter. If you take a gander at Sturgis the duties of the Secretary described therein are much more extensive than we have ever expected of our Board Secretaries. It's also the case that in limited circumstances, Secretaries can vote. Given the very limited nature of the duties of the Board's Secretary, a former parlimentarian recommended using "Recording Secretary", a position described in Sturgis mostly by substraction. So "Mr. Buckley"'s suggestion that they carefully define the position was actually a pretty smart idea. DUCKS IN A ROW: The last spineless Board member agreed to the Sekrit Sandbox gag order. THEY ALL LOOK THE SAME TO US ANYWAYS: Mike moved to accept Scott's agenda. Scott then asked Paul to withdraw the motion, noting that's not usual practice to accept the agenda by a motion and vote. Mike graciously complied with Scott's request. YES, DAD: Scooter posted his first motivational address of his term, and encouraged the Board to "act in a respectful manner towards each other, and at the end of the day, vote on the issues at hand and move on." He futher noted, "The prevailing opinion amongst the board carries, and as a Board we move to the next issue, leaving that disagreement behind. The one thing that binds us together is the desire for this project to grow and develop. We each do and say what we believe is best for the project - and we shouldn't let a disagreement on one issue carry over to the next." Nothing like empty platitudes to start your day. Scott also tootled his own horn for managing to get three agenda items cleared thus far [his welcome message, thanking the escaping Board members, and the all important gag order], and brought the team up to speed on some other items. THANKS FOR ALL THE FISH: The only item of big news in Scott's cheerleading is that Boy Wonder Josh Taylor has declined to continue as Parliamentarian, citing other competing responsibilities. [This is really too bad; Josh was quite a good parliamentarian, although the Board chose to ignore him as often as not.] Scott notified the Board that he's "looking at several options for a replacement" and asked the Board to table this item for the present. SHE WORKS HARD FOR THE MONEY: Scott also recommended retaining Donna Allen as "Board Secretary", evidently choosing to eschew the official term "Recording Secretary" which the Board has used for at least four years now. Right on cue, Mike moved "to accept the appointment of Donna Allen as Board Secretary." Greta seconded the motion, Scott gave it number 06-16 [getting Mike's name right this time] and opened the floor for discussion. CRYING IN THE WILDERNESS: Greta also moved to "thank Josh Taylor for his many contributions to USGenWeb, including his service as Parliamentarian, and wish him well in graduate school and his continuing commitments." This motion thus far has been ignored. PUT A FORK IN IT: After a couple of tries, Scott finally posts what appears to be the final agenda. He had to be reminded again to include the procedures for fraudulent registrations. The final [maybe] version is below. SAYONARA: Scott declared Paul's motion to recess over the now past long weekend dead. LIKE PUSHERS IN THE SCHOOL YARD: Although Scott agreed to unsubscribe Paul Buckly from the Sekrit Sandbox, a couple of members took Paul to task for his refusal to play in the Sekrit Sandbox. New Board member Greta Thompson noted "I believe that my choice to be subbed is a valid and moral option and that the Exec List serves a legitimate, necessary purpose," and went on to say that although she believes that Board business "should be conducted openly and archived", darn it, sometimes you just need a secret list. She claimed to be "a person of integrity" and committed to supporting the Project and its volunteers and noted, "I don't need to worry about agreeing to be a member of the Exec list or to fuss about what people imagine is happening on that list--until or unless someone on the list does something questionable or wrong. Then we'll have a situation that we'll need to examine carefully and rectify." George "First One Is Free, Kid" Waller encouraged Paul to subscribe to the list, more or less just to see how it goes. He admitted that the Sekrit Sandbox consists of little more than "chit chat", but listed these reasons [none of which require a secret list] why the Board just has to have its little secret place to play: 1) notices that Board members need to be out of town [can be handled with a message to the NC]; 2) complaints about rude CCs [should be referred to the SC anyways]; 3) tales of woe from SCs [again, private notices to the NC and regional reps should suffice; 4) unspecified complaints of any other kind. [Oddly enough, Smiling George didn't mention the one big thing that everyone uses to justify the continued existence of Board-Exec: grievances.] He then basically threatened Paul with being marginalized and impotent if he doesn't join the list. Why not being around to listen to "chit chat" and the odd complaint or out of town notice would render one incapable of representing one's constituents goes unexplained. Paul, however, stuck to his guns, despite apparently overwhelming public and private pressure, and noted "I do not believe that the AB has bylaw authority to enter an Executive Session or to conduct a formal "secret" or "confidential" discussion as an elected body...my position is that any "private" or "confidential" issues amongst our members or "users" is none of the AB's business, and is more likely a legal issue that I simply do not want to get involved in, however harmless and mundane the issue may seem." Shortly thereafter, Phyllis "Can't Miss A Fix" Rippee agreed to the gag order. The lone holdout is now Sundee Maynez. MAVERICK: After Greta asked him a couple of questions about his concerns regarding the standing procedures, Paul observed, "The AB procedures posted on the USGenWeb page are...redundant, unauthorized, and should be removed, rescinded, or otherwise withdrawn...the bylaws coupled with accepted Parliamentary Procedure are sufficient." He also addressed the issue of what he calles "appointed AB members." He noted that "The bylaws do not allow such appointments...I do think that the board needs a secretary and a parliamentarian...the positions should be filled amongst the elected AB members and at the boards discretion. The Webmaster and Newsletter positions are a vital part of the project and should be filled at the discretion and under the NC and AB's authority. However, I don't see that these are authorized board positions." CAN OF WORMS, OPENED: After what was apparently a busy and frustrating weekend with home repair projects [and hey, who hasn't been there?], Paul Buckley posted a couple of very interesting messages. The first was to the informal list where, after a long preamble about why he joined USGenWeb in the first place and an appreciation of a particular hardworking member of NCGenWeb, he posted the following suggestions: "First, the AB and its duties and procedures are spelled out in the bylaws. Should we begin by affirming same and rescinding the previously redundant, and possibly out of order, procedures established by the previous board? Second, I don't see where the bylaws stipulate any ex-officio AB members. If the board decides it has a need for a secretary or a parliamentarian, or others, shouldn't those positions be elected amongst the elected board members? Third, I am at a total loss as to what confidential business the AB may have need to conduct. Suggest that the "EXEC" list be abolished. Finally, my understanding is that an old business item is a grievance against me and others. Should the grievance come to an AB vote, my recuse is hereby submitted, although I would expect that parliamentary procedures automatically prescribe same." Interesting ideas, these. We particularly like his recommendation that the Sekrit Sandbox be closed as the useless, divisive private toy that it is. We doubt this will fly because getting to play there and know all the sooper sekrit stuff is one of the few perks of being a Board member. Paul is also correct in that at least one of the "pending grievances" involves him and we are pleased to know that he intends to recuse himself. We know this issue was of great concern to the CC in the case; now if every Board member who served with the SC in the case would do the same, there might be some semblance of fairness in the upcoming shenanigans. BREATH OF AIR, FRESH: In his second message, this one to the formal list, Paul disagreed with Scooter's gag order and asked to be unsubscribed from BOARD-EXEC. We were, to put it mildly, astounded by this. To our knowledge, this is the first time this has ever happened. Certainly the rest of the Board members have fallen into lockstep on the gag order and dutifully handed over their integrity along with their backbones. Sadly, we expect that the rest of the Board will chastise Paul into submission within a few days and he'll be dragged into the Sekrit Sandbox with the rest of them. Because, you know, spineless people would prefer not to have someone standing tall among them. It makes them look, well, small. In any case, expect a wordy, patronizing email from Daddy Scott just as soon as he has his first cup of decaf this morning. OTHER BUSINESS: There was a brief discussion of the status of the Voter Fraud Committee after Cyndie suggested that its procedures be included in the unfinished business section of the agenda and after Mike included it in a list of committees. George corrected him by noting that the VFC is not longer the VFC but is now called Fraudulent Registrations and its not a committee anymore but "a volunteer from the AB who will oversee and document the situation." This might be jumping the gun a little. The dawn after the storm...its Your Daily Board Show! WINDING DOWN: With much of the Board apparently enjoying their holiday, not much happened on the second day of the new term. Four more spineless wimps agreed to Scooter's gag order, bringing the total up to ten. Mike Peterson wondered who was subscribed to the Sekrit Sandbox and was told it was all the Board members plus the Parliamentarian [who, IWRC, was added sometime in NC Linda's tenure when she needed him to participate in something or other; apparently he was never removed.] Mike had some concerns about non-elected members sitting on confidential discussions and noted that there really is no reason for anyone not elected by the membership to sit in on the playground. Scott championed the Parliamentarian's participation in the Sekrit Sandbox because they might need his guidance on something they discuss there. Of course, the parliamentarian should only be opining on matters involving the proper use of parliamentary procedure and Board-Exec is a Sturgis-free zone, so why is he needed? Mike also wondered how the Board would handle grievances against its own members and Scott ran him through the options available to them, including unsubbing compromised Board members or using yet another secret list to which they are not invited. Oh, and Scott finally called for a second on Paul's motion to recess until Tuesday. None has been forthcoming as of press time. Of course, if it were seconded, they have to vote on it for two days and then it would be Tuesday. WHEN IN ROME: New NC Scott Burow welcomed the four new members to the fray and asked them to check in. All did so and Scott moved efficiently to the next orders of business, which included posting a proposed agenda [see below] to the informal list and instituting his own personal gag order on the Board. He also noted that he would be keeping the formal/informal meeting structure, adjourned the August meeting [which Linda should have done before she left], and opened the September meeting. The agenda caused a flurry of questions and comments. Mike wanted to know why the various personnel appointments require three items of business instead of one or four. Scott's explanation that the Parliamentarian and Board Secretary are "selected by the NC with approval by the Board" while the webmaster and newsletter editor are "appointed by the Board," while technically correct did not really shed much light on the matter, and Mike still noted the inconsistency. Scott tried again, with another technically correct but obtuse explanation [he might just as well say "because that is how we do it"] based on who gets to choose the people appointed. Board members were also confused by the "unfinished business" item relating to the urgent-yet-languishing bylaws amendment. The new ones in particular asked about the correct way to proceed since the motion, which was never seconded and which expired with the last Board, is not before the assembly. Scott allowed as to how this puts him in a bit of a bind, since he can no longer propose motions or second them. GET A MOVE ON: During the discussion of the agenda, Paul Buckly moved to recess the meeting for the Labor Day holiday, noting his own hectic schedule this weekend. At least one other Board member has said they will be more or less unavailable through Monday and several are conspicuous by their absence and may be on holiday as well. Thus far, although asked specifically to do so, Scott has refused to call for a second because he does not want to close the meeting over the weekend. REINED IN: After six Board members [three of them new] agreed to the gag order so they could play in the Sekrit Sandbox with the big kids, Paul rose to a point of order and asked for a reading of the question. When Scott recognized the point of order and asked Paul what he wanted a reading on, Paul noted that the text of the confidentiality order had not been read into the record. Scott gave him a more concise statement and reminded him that it would be archived in the records of the formal meeting. Before Scooter calls for a motion to "accept the currently posted Standing Procedures", he might want to read them. A PARTING NOTE: A wandering tattler, who now being free apparently no longer feels bound by any gag order they may or may not have made at some time in the past, has sent us some very interesting documents. While we can say no more about it at this time, we can note a couple of interesting things. One of which is that some SCs apparently think that when they fire CCs and get called before the Board in a grievance it is entirely acceptable to engage in truly epic character assassination in lieu of actually justifying the removal of the volunteer. This includes telling the Board half truths and outright lies, slandering the CC's family, and accusing the CC without any proof whatsoever of maintaining aliases and stealing data. We would say we are astonished at the depth of depravity this reveals, but we really aren't. CHANGING OF THE GUARD: It's that time of year again and we, as of midnight somewhere, have a new Board. The DBS says goodbye to outgoing Board members NC Linda Haas Davenport, Jeff Scism, and Darilee Bednar, and welcomes new Board members Greta Thompson, Alice Allen, and Mike Peterson. NC Linda published a brief and fairly bland farewell message yesterday evening wherein she thanked the Board and "everyone I've worked with this past year." Over on the DISCUSS list, though, she let down her hair a little bit and thanked "friend and foe." So far, there's been no new business from new NC Scott Burow, but we imagine he'll be up and running in no time. Of course, with the advent of a new term, all active business expires, including the "urgent" bylaws amendment now on the floor, which is still unnumbered after four days. As NC and Chair, Scott can no longer make motions, second them, or vote on them, and although he may ask for and encourage motions, there's little he can do if the prevailing sentiment is not on the same wave length.
